Sections not applicable to this tier

Section numbering is kept unchanged so cross-references stay accurate. Any reference to an omitted Section applies only if the Venue later moves to a tier that includes that feature, at which point the relevant tier agreement governs.

2A. Platform Availability
Atlas targets a platform availability of 99.5% measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated via the platform or email with a minimum of 48 hours' notice where practicable. Atlas shall not be liable for outages caused by third-party service providers (including but not limited to Stripe, blockchain networks, DNS providers, and cloud infrastructure), nor for emergency maintenance required to address security vulnerabilities. In the event of a material and sustained service outage exceeding 72 consecutive hours (excluding Force Majeure Events), Atlas will use reasonable endeavours to restore service as soon as practicable. Bronze has no paid service-credit entitlement. All remedies and exclusions remain subject to Section 10.3 and any liability that cannot lawfully be excluded.
2B. Tier-Specific Service Level Agreement
As a Bronze Tier subscriber, support is provided via the Atlas Help Centre and community resources. There is no guaranteed response time. Atlas will use reasonable endeavours to address reported issues but provides no formal SLA at this tier.
3. Fees and Payment Terms
3.1. The annual fee for the Bronze Tier is £0 (Free).
3.2. The Bronze Tier is provided free of charge with no payment obligation.
3.3. Bronze remains free. Enhanced features may be offered as optional paid upgrades with 60 days' notice of new charges; no upgrade charge applies without the Venue choosing it.
3.4. There is no subscription payment due for Bronze, and Bronze access will not be suspended for non-payment of a subscription fee.
3.5. All fees are non-refundable except as expressly stated in Section 12 (Termination and Refund Policy).
3.6. Cryptocurrency Settlement: Where the Venue elects to pay fees via cryptocurrency (, BTC, or Spark), the payment amount shall be calculated at the GBP-equivalent exchange rate at the precise moment of transaction confirmation. Atlas shall not be liable for any between the time of payment initiation and final . Cryptocurrency payments are processed via third-party blockchain networks; Atlas does not guarantee transaction speeds and shall not be liable for delays caused by network congestion or blockchain outages. Cryptocurrency payment is not available at the Bronze Tier.
3.7. Transaction Fees and Merchant of Record. Atlas charges 0% commission and no per-cover fee on bookings, card guarantees, event tickets, Local Marketplace sales, gift voucher redemptions or Paylink payments made through the platform. All such funds settle directly into the Venue's own Stripe Connect account. The Venue is the merchant of record for those transactions and pays Stripe's standard processing rates (currently from 1.5% + 20p on UK domestic cards, as published by Stripe from time to time). Atlas adds no markup to those rates, receives no share of them, does not hold Venue funds, and does not process in-venue point-of-sale payments. References elsewhere in this Agreement to "0% commission", "0% Atlas fees" or "Stripe processing fees pass-through" are to be read in accordance with this clause 3.7.
4. Term and Renewal
4.1. This Agreement commences on the Effective Date and continues on a rolling basis while the Venue remains on Bronze, until terminated under Section 12. There is no fixed annual term or annual renewal requirement for Bronze.
4.2. Either party may end the Bronze Agreement by giving 30 days' written notice under Section 12.1(a). Immediate suspension and termination rights for breach, unlawful activity and safety concerns in Section 12 remain unchanged.
4.3. The Venue may choose to upgrade at any time. An upgrade requires acceptance of the applicable paid-tier terms and payment of the displayed fee; paid tiers have a 365-calendar-day term and require manual renewal.
4.4. Bronze remains free without a renewal purchase. Profile data is retained during active Bronze access; retention following termination is governed by Section 12.4.
4.5. Optional paid features do not create a payment obligation for a Venue that chooses to remain on Bronze.
5. Venue Obligations
5.1. The Venue agrees to:
(a) Provide accurate, truthful, and up-to-date information about the venue, including but not limited to: trading name, address, opening hours, menu offerings, pricing, and contact details.
(b) Maintain a valid and operational business premises throughout the term of this Agreement.
(c) Hold all necessary licences, permits, and regulatory approvals required to operate the venue (including but not limited to food hygiene certificates, alcohol licences, and premises licences where applicable).
(d) Respond to customer reviews and enquiries in a professional and timely manner.
(e) Not use the Atlas platform to promote illegal, fraudulent, misleading, defamatory, discriminatory, or harmful content.
(f) Not manipulate reviews, ratings, check-ins, or any other platform metrics through artificial or deceptive means.
(g) Not resell, sublicence, or transfer their Atlas listing to a third party without prior written consent from Atlas.
(h) Comply with all applicable laws and regulations, including but not limited to the Equality Act 2010, Consumer Rights Act 2015, Food Safety Act 1990, and relevant data protection legislation.
5.2. Review and Rating Integrity
(a) The Venue must not offer incentives, rewards, discounts, or any other consideration to customers in exchange for positive reviews or ratings on the Atlas platform.
(b) The Venue must not threaten, intimidate, harass, or take retaliatory action against customers who leave negative or critical reviews.
(c) The Venue must not post fake reviews, use third-party services to generate artificial reviews, or engage in any form of review manipulation.
(d) Atlas reserves the right to remove, flag, or deprioritise review responses that are retaliatory, abusive, defamatory, or in breach of Atlas's community guidelines.
(e) Persistent breach of review integrity obligations may result in the removal of the Venue's ability to respond to reviews and/or suspension of the listing.
5.3. Breach of any Venue obligation may result in suspension or termination of the listing in accordance with Section 12.
5.4. Continuity of Outstanding Commitments. On termination, cancellation, expiry or downgrade, the Venue remains responsible for honouring confirmed guest bookings, prepaid amounts and paid event tickets agreed before the effective date, and for any cancellation, rescheduling or refund required by its published guest terms and applicable consumer law. Expiry or downgrade does not cancel those commitments. Atlas provides technology, not the Venue's hospitality service; it is not a party to the Venue-guest contract and does not hold Venue deposits or underwrite Venue refunds. This allocation does not exclude Atlas's own obligations or liabilities that cannot lawfully be excluded (Section 10.3).
5.5. Vouchers and Earned Rewards. Atlas Vouchers remain Atlas-wide, not Venue-issued instruments; acceptance and continue under Section 28 while the Venue participates, including at Bronze. The Venue remains responsible for its own independently issued vouchers and earned punch-card rewards under Section 44. A downgrade does not cancel those liabilities.
5.6. Transition Records. Downgrade to Bronze removes entitlement to live diary, table-management and outbound marketing tools, but does not erase outstanding guest commitments. The Venue shall export its booking and ticket manifests before the change and may request a copy from Atlas under Section 42 within the applicable export period. This is not a promise of continued paid-tier tools after downgrade.
6. Allergen, Dietary & Food Safety Obligations
6.1. The Venue acknowledges that the Atlas platform displays dietary labels, allergen information, and "Safe for Me" safety indicators to users based solely on data provided by the Venue ("Dietary Data"). The Venue accepts sole and exclusive responsibility for the accuracy, completeness, and currency of all Dietary Data. Where Atlas's AI systems propose allergen or dietary tags from a menu or description, such proposals are flagged as "AI-suggested" and are not displayed as verified, and the "Safe for Me" badge is not surfaced to diners, until the Venue has expressly confirmed the suggestion in the dashboard. AI suggestions never override or replace the Venue's primary obligation to declare allergens accurately under clause 6.2.
6.2. The Venue warrants and undertakes that it shall:
(a) Comply in full with the Food Information Regulations 2014 (as amended), the Food Safety Act 1990, Regulation (EU) No 1169/2011 (as retained in UK law), and Natasha's Law (the Food Information (Amendment) (England) Regulations 2019, and equivalent provisions in Scotland, Wales, and Northern Ireland) in respect of all allergen and dietary information provided to Atlas.
(b) Accurately declare the presence of each of the 14 mandatory UK allergens in all menu items listed on the Atlas platform, namely:
1. Celery (including celeriac)
2. Cereals containing gluten (wheat, rye, barley, oats, spelt, kamut)
3. Crustaceans (crabs, lobster, prawns, shrimp)
4. Eggs
5. Fish
6. Lupin
7. Milk (including lactose)
8. Molluscs (mussels, oysters, squid, snails)
9. Mustard
10. Tree nuts (almonds, hazelnuts, walnuts, cashews, pecans, brazils, pistachios, macadamia/Queensland nuts)
11. Peanuts
12. Sesame
13. Soya (soybeans)
14. Sulphur dioxide and sulphites (at concentrations exceeding 10mg/kg or 10mg/litre)
(c) Update all Dietary Data on the Atlas platform within 24 hours of any change to menu composition, recipes, suppliers, or preparation methods that may affect allergen or dietary status.
(d) Ensure that all staff involved in food preparation and service are trained in allergen awareness and are able to provide accurate allergen information to customers upon request.
(e) Maintain written allergen records for all menu items and make them available to Atlas upon reasonable request for audit or verification purposes.
6.3. Atlas displays Dietary Data in good faith as a convenience to users but does NOT independently verify, test, audit, or guarantee the accuracy of any allergen or dietary information provided by the Venue. The "Safe for Me" badge and dietary labels are informational indicators only and do not constitute a warranty, guarantee, or professional dietary or medical advice.
6.4. Atlas reserves the right to:
(a) Remove, suspend, or modify any dietary label, "Safe for Me" badge, or allergen indicator at any time if Atlas reasonably suspects that the Dietary Data provided by the Venue is inaccurate, incomplete, or misleading;
(b) Display a disclaimer on the Venue's profile indicating that dietary information has not been independently verified;
(c) Require the Venue to re-confirm or re-certify its Dietary Data at any time upon reasonable notice.
6.5. The Venue shall indemnify, defend, and hold harmless Atlas, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and regulatory fines) arising out of or in connection with:
(a) Inaccurate, incomplete, or misleading allergen or dietary information provided by the Venue;
(b) Any allergic reaction, illness, injury, or death suffered by any person as a result of consuming food or drink at the Venue where the Venue failed to accurately declare allergens or dietary information;
(c) Any regulatory investigation, enforcement action, or prosecution arising from the Venue's non-compliance with food safety or allergen legislation.
6.6. This indemnity is in addition to (and does not limit) the general indemnification obligations set out in Section 11 of this Agreement.
6.7. Accessibility and Physical Amenities. The Venue warrants that profile amenities and accessibility descriptions, including step-free access, accessible toilets, assistance-dog access and hearing loops, accurately describe its premises and any limitations, and are kept current. Dietary badges remain subject to clauses 6.1 to 6.6 and are not a guarantee of allergen-free service. Atlas does not physically inspect premises or independently certify these descriptions. Subject to Section 10.3, Atlas is not liable for inaccurate or outdated premises descriptions supplied by the Venue. Section 47 also applies to table attributes.
7. Insurance Requirements
7.1. Throughout Bronze access, the Venue warrants that it holds all licences, permits and insurance required by applicable UK law for its own business and premises, including employers' liability insurance where legally required. Atlas imposes no additional public or product liability minimum solely for a Bronze listing.
7.2. Routine submission of insurance certificates or a pre-claim insurance audit is not a condition of claiming or maintaining a Bronze listing. The Venue remains responsible for lawful operation; Atlas may request proportionate evidence where required by law or reasonably necessary to investigate a specific safety or compliance concern.
7.3. The Venue shall notify Atlas within 7 days if any legally required insurance is cancelled, lapses or no longer meets the applicable legal requirement.
7.4. Failure to maintain legally required cover may result in suspension under Section 12. On upgrading to Silver, Gold or Platinum, the full insurance schedule for that paid tier applies; supporting documents may be stored in the Compliance Vault, which is a storage facility and not an Atlas verification or endorsement of cover (Section 36).
8. Content, Intellectual Property & AI-Generated Content
8.1. The Venue grants Atlas a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute any content uploaded by the Venue to the Atlas platform ("Venue Content"), including but not limited to: photographs, logos, menu descriptions, promotional copy, and videos.
8.2. This licence is granted for the purpose of operating the Atlas platform, marketing Atlas services, and promoting the Venue's listing. The licence survives termination of this Agreement for a period of 6 months to allow for orderly removal. Notwithstanding the foregoing, Atlas may continue to use Venue Content in anonymised, aggregated form (including but not limited to platform statistics, benchmarking reports, marketing materials, and case studies) indefinitely after termination of this Agreement.
8.3. The Venue warrants that it has the right to grant such licence and that Venue Content does not infringe the intellectual property rights of any third party.
8.4. Atlas retains all intellectual property rights in the Atlas platform, including but not limited to: software, design, algorithms, AI models, branding, trade marks, and proprietary systems (including Trinity AI and the AXP loyalty framework).
8.5. The Venue shall not reverse-engineer, decompile, or attempt to extract the source code of any Atlas software or AI systems.
8.6. User-generated content (reviews, photos, check-ins) remains the property of the respective users, subject to the Atlas user terms of service.
8.7. AI-Generated Content Liability
(a) The Bronze Tier does not currently include AI-generated content features. Should AI features become available to this tier in future, the Venue acknowledges that any AI-generated outputs are suggestions only and that the Venue is solely responsible for reviewing and approving any such content before publication.
(b) Atlas shall not be liable for any loss arising from AI-generated content that the Venue publishes without adequate review.
9. Data Protection and UK GDPR Compliance
9.1. Both parties agree to comply with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and the Privacy and Electronic Communications Regulations 2003 (PECR).
9.2. For the purposes of data protection law:
(a) Atlas is the Data Controller for platform user data.
(b) The Venue is a Data Controller for its own customer data collected independently of the Atlas platform.
(c) Where Atlas processes data on behalf of the Venue (e.g., analytics, push notifications, email campaigns), Atlas acts as a Data Processor subject to a Data Processing Agreement ("DPA"). This Section 9, together with Sections 41 and 42, constitutes the DPA for the purposes of UK GDPR Article 28; no separate document is required, and it forms part of the version of this Agreement accepted by the Venue.
9.3. The Venue agrees:
(a) Not to access, request, or attempt to obtain the personal data (including email addresses, phone numbers, and physical addresses) of Atlas users beyond what is explicitly provided through the platform's standard features.
(b) To process any personal data received through the Atlas platform solely for the purposes of the Venue's listing and customer engagement on the Atlas platform.
(c) To implement appropriate technical and organisational security measures to protect any personal data.
(d) To cooperate with Atlas in responding to data subject access requests (DSARs), erasure requests, and data breach notifications.
9.4. Atlas will process Venue data in accordance with its Privacy Policy, available at atlasfoodanddrink.com/privacy.
9.5. In the event of a personal data breach affecting Venue data, Atlas will notify the Venue without undue delay and in any event within 72 hours of becoming aware of the breach.
9.6. Atlas retains the right to anonymise and aggregate Venue performance data for benchmarking and platform improvement purposes. Such aggregated data will not identify individual venues.
9.7. Compliance Vault: Documents Uploaded by the Venue
(a) The Compliance Vault is a private, encrypted area of the platform in which the Venue may upload its own regulatory and operating documents (e.g., premises licence, food hygiene certificates, public/employer's liability insurance schedules, PAT/gas safety/fire risk assessments, allergen training certificates, H&S policies, ICO registration). The Venue is the sole Data Controller for any documents uploaded; Atlas acts as Data Processor under the DPA referenced at clause 9.2(c).
(b) Prohibited Content. The Venue must NOT upload to the Compliance Vault any of the following: (i) DBS or criminal record certificates; (ii) NHS, occupational health, or other medical records; (iii) passport, visa, or right-to-work scans; (iv) employee contracts containing salary, NI numbers, or bank details; (v) customer complaint files identifying named individuals; (vi) CCTV footage or stills of identifiable persons; (vii) any other special category data within the meaning of UK GDPR Article 9 or criminal-offence data within the meaning of Article 10. The Venue shall indemnify and hold harmless Atlas against any claims, fines, or losses arising from the Venue's breach of this clause.
(c) Lawful Basis & Minimisation. The Venue warrants that it has a valid Article 6 lawful basis for any personal data contained in uploaded documents (e.g., a named engineer on a PAT certificate, a named staff member on a training certificate) and has taken reasonable steps to redact or minimise such data where practicable.
(d) Retention. Each document carries a Venue-set retention date defaulted to UK statutory minimums (for example, Employer's Liability Insurance: 40 years; food safety records: 12 months; H&S records as applicable). Atlas does NOT auto-delete documents; instead, Atlas flags documents past the retention date for the Venue's review. The Venue is responsible for confirming deletion or extending retention.
(e) Audit Logging. Every upload, download, and deletion is recorded in an immutable audit log capturing the acting user, timestamp, and IP address (UK GDPR Art. 5(2) accountability). Audit records are retained for 6 years and are available to the Venue on request to support DSARs and regulatory enquiries.
(f) Soft Delete & Recovery. Deletion places documents in a soft-deleted state for 30 days during which the Venue may restore them; after 30 days the document and any associated storage object are permanently and irreversibly deleted. The Venue may at any time request immediate permanent deletion in writing.
(g) Audited Downloads. Document downloads are issued via short-lived signed URLs (5-minute expiry) generated by an authenticated edge function. Direct, anonymous, or unauthenticated access to the storage layer is not possible.
(h) Access Control. Only users holding the venue-admin role for the relevant Venue may read, upload, or delete documents in that Venue's vault. Atlas personnel will not access Venue documents except where (i) required by law, court order, or regulator; (ii) reasonably necessary to investigate a security incident; or (iii) requested in writing by the Venue for support purposes, and any such access will itself be audit-logged.
10. Limitation of Liability
10.1. To the maximum extent permitted by law, Atlas's total aggregate liability under or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed £100.
10.2. Atlas shall not be liable for:
(a) Any indirect, consequential, incidental, special, or punitive damages;
(b) Loss of profits, revenue, business, anticipated savings, goodwill, or data;
(c) Any loss arising from the Venue's failure to maintain accurate listing information;
(d) Any loss arising from third-party actions, including customer reviews or social media commentary;
(e) Service interruptions caused by maintenance, updates, or circumstances beyond Atlas's reasonable control;
(f) Fluctuations in cryptocurrency value where crypto payment methods are used;
(g) Any loss arising from inaccurate allergen, dietary, or food safety information provided by the Venue;
(h) Any allergic reaction, illness, or injury suffered by any person as a result of the Venue's food or drink.
10.3. Nothing in this Agreement excludes or limits liability for:
(a) Death or personal injury caused by negligence;
(b) Fraud or fraudulent misrepresentation;
(c) Any liability that cannot be lawfully excluded under English law.
10.4. The Venue acknowledges that the fees reflect the allocation of risk in this Agreement and that Atlas's liability limitations are reasonable and proportionate.
11. Indemnification
11.1. The Venue agrees to indemnify, defend, and hold harmless Atlas, its directors, officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) The Venue's breach of this Agreement;
(b) The Venue's breach of any applicable law or regulation;
(c) Any content uploaded or provided by the Venue that infringes third-party intellectual property rights;
(d) Any claim by a customer or third party arising from the Venue's products, services, or conduct;
(e) The Venue's misuse of the Atlas platform or its features;
(f) Any misrepresentation by the Venue regarding its business, products, or services;
(g) Inaccurate, incomplete, or misleading allergen, dietary, or food safety information (as further detailed in Section 6.5);
(h) Any regulatory investigation, enforcement action, or fine arising from the Venue's non-compliance with food safety, allergen, licensing, or health and safety legislation.
11.2. Atlas will promptly notify the Venue of any claim and provide reasonable cooperation in the defence of such claim.
12. Termination and Refund Policy
12.1. Either party may terminate this Agreement:
(a) By giving 30 days' written notice to the other party. For the avoidance of doubt, termination by the Venue under this Section 12.1(a) does not entitle the Venue to any refund (see Section 12.3);
(b) Immediately, if the other party commits a material breach and fails to remedy such breach within 14 days of receiving written notice specifying the breach.
12.2. Atlas may terminate or suspend the Venue's listing immediately and without notice if:
(a) The Venue engages in illegal activity;
(b) The Venue's content poses a risk to Atlas users or the platform's reputation;
(c) The Venue repeatedly violates the Acceptable Use Policy;
(d) The Venue's business ceases to operate or enters insolvency;
(e) The Venue fails to maintain required insurance cover (Section 7);
(f) The Venue provides materially inaccurate allergen or dietary information that poses a risk to public health (Section 6).
12.3. Refund Policy:
(a) As the Bronze Tier is free, no refund provisions apply.
12.4. Upon termination:
(a) The Venue's listing will be downgraded to Bronze (Free) tier or removed entirely, at Atlas's discretion;
(b) The Venue's profile data will be retained for 90 days, then archived or deleted;
(c) Any outstanding obligations or liabilities shall survive termination, including guest bookings, tickets, refunds and earned rewards under clauses 5.4 to 5.6; tier expiry or downgrade has the same effect on those outstanding commitments;
(d) Sections 6 (Allergens), 7 (Insurance), 8 (IP), 9 (Data Protection), 10 (Liability), 11 (Indemnification), 13 (Confidentiality), 15 (Governing Law), 23 (Anti-Bribery), 24 (Non-Solicitation & Publicity), 25 (Acceptable Use & Content Policy), 27 (Atlas-Pays), 28 (Atlas Vouchers), 29 (Bookings), 30 (AXP Wallet), 31 (Trinity Content Licence, surviving to the extent necessary for records and audit), 32 (Crypto Payments), 33 (Operator Messaging Indemnity), 34 (AI Content Publishing Responsibility), 36 (Compliance Vault retention), 37 (AXP Closed-Loop Integrity), 43 (Atlas Payouts Wallet) and 44 (Punch Cards & Stamp Ledger, in respect of stamps earned before termination) shall survive termination.
13. Confidentiality
13.1. Each party agrees to keep confidential all information received from the other party that is marked as confidential or that would reasonably be understood to be confidential ("Confidential Information").
13.2. Confidential Information includes, but is not limited to: business plans, financial data, customer data, pricing strategies, technical specifications, algorithms, and marketing strategies.
13.3. The receiving party may disclose Confidential Information only:
(a) To its employees, advisors, or contractors who need to know and are bound by equivalent confidentiality obligations;
(b) As required by law, regulation, or court order, provided the disclosing party is given reasonable prior notice.
13.4. This obligation of confidentiality survives termination of this Agreement for a period of 5 years, save that obligations in respect of trade secrets (including but not limited to Atlas algorithms, AI models, proprietary systems, pricing methodologies, and technical architecture) shall survive indefinitely.
14. Force Majeure
14.1. Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent that such failure or delay is caused by circumstances beyond its reasonable control ("Force Majeure Event").
14.2. Force Majeure Events include, but are not limited to: natural disasters, pandemics, acts of government, war, terrorism, civil unrest, cyberattacks, power failures, internet outages, and failures of third-party service providers.
14.3. The affected party must notify the other party promptly of the Force Majeure Event and use reasonable endeavours to mitigate its effects.
14.4. If a Force Majeure Event continues for more than 60 consecutive days, either party may terminate this Agreement by giving 30 days' written notice.
15. Governing Law and Jurisdiction
15.1. This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
15.2. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement.
15.3. Nothing in this clause prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.
16. Dispute Resolution
16.1. In the event of any dispute arising out of or in connection with this Agreement, the parties agree to first attempt to resolve the dispute through good-faith negotiation.
16.2. If the dispute is not resolved within 30 days of written notice, the parties agree to submit the dispute to mediation administered by the Centre for Effective Dispute Resolution (CEDR) in London.
16.3. If mediation is unsuccessful within 60 days, either party may commence court proceedings in accordance with Section 15.
16.4. The costs of mediation shall be borne equally by both parties, without prejudice to any costs order that may be made by a court in subsequent proceedings, including an order that the unsuccessful party bear the reasonable legal and professional costs of both parties.
17. Entire Agreement
17.1. This Agreement, together with any documents incorporated by reference (including the Data Processing Agreement, Privacy Policy, and Acceptable Use Policy), constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, warranties, and agreements.
17.2. No oral or written statement not contained in this Agreement shall form part of this Agreement.
17.3. Each party acknowledges that it has not relied on any representation or warranty not expressly set out in this Agreement.
18. Amendments and Modifications
18.1. Atlas reserves the right to amend this Agreement with 30 days' written notice to the Venue via email or platform notification.
18.2. For non-material amendments (including minor operational changes, feature updates, and clarifications that do not alter the Venue's substantive rights or obligations), continued use of the Atlas platform after the amendment takes effect shall constitute acceptance of the amended terms.
18.3. Material changes, including but not limited to changes to pricing, fee structure, service levels, liability caps, indemnification obligations, or data processing scope, shall require the Venue's express written consent before taking effect. Atlas shall clearly identify any amendment as "material" in its notice to the Venue.
18.4. If the Venue does not agree to any amendment (whether material or non-material), the Venue may terminate this Agreement in accordance with Section 12 before the amendment takes effect.
19. Severability
19.1. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
19.2. The parties agree to negotiate in good faith to replace any invalid provision with a valid provision that achieves, to the extent possible, the original commercial intention of the invalid provision.
20. Assignment
20.1. The Venue may not assign, transfer, or subcontract any of its rights or obligations under this Agreement without the prior written consent of Atlas, subject to the successor-operator procedure in clause 20.3.
20.2. Atlas may assign this Agreement to any successor, affiliate, or acquirer of all or substantially all of its business or assets, provided the assignee agrees to be bound by the terms of this Agreement.
20.3. Successor Operators and Leaseholders. The Venue may request transfer of the listing, remaining tier term and relevant platform history to a successor operator or incoming leaseholder by giving at least 14 days' prior written notice to support@atlasfoodanddrink.com. Transfer requires Atlas's written approval, which will not be unreasonably withheld or delayed, and is conditional on (a) the incoming entity executing an Atlas Venue Agreement and establishing its authority to operate the premises, (b) its written assumption of outstanding guest bookings, tickets, independently issued voucher obligations and earned rewards, and (c) payment of outstanding account fees. Atlas-wide vouchers remain governed by Section 28. Guest data transfers require a lawful basis under Section 9; private credentials and wallet keys are not transferred by Atlas. Notice alone does not transfer account access or release the outgoing operator from accrued liabilities.
21. Notices
21.1. All notices under this Agreement must be in writing and sent to:
Atlas Group Technologies Ltd
71-75 Shelton Street
Covent Garden, London, WC2H 9JQ
Email: support@atlasfoodanddrink.com
21.2. Notices to the Venue shall be sent to the email address associated with the Venue's Atlas account.
21.3. Notices are deemed received:
(a) If sent by email, on the business day following sending;
(b) If sent by recorded delivery post, 2 business days after posting.
22. Waiver
22.1. No failure or delay by either party in exercising any right or remedy under this Agreement shall constitute a waiver of that right or remedy.
22.2. A waiver of any breach of this Agreement shall not be deemed a waiver of any subsequent breach.
22.3. Any waiver must be in writing and signed by the waiving party to be effective.
23. Anti-Bribery, Anti-Corruption & Modern Slavery
23.1. Anti-Bribery and Anti-Corruption
(a) Each party shall comply with all applicable anti-bribery and anti-corruption laws, including but not limited to the UK Bribery Act 2010.
(b) Neither party shall, directly or indirectly, offer, promise, give, request, agree to receive, or accept any bribe, inducement, or other improper advantage in connection with this Agreement or the performance of obligations hereunder.
(c) Each party shall maintain adequate procedures (as contemplated by section 7(2) of the Bribery Act 2010) to prevent bribery by persons associated with it.
(d) Each party shall promptly notify the other if it becomes aware of any actual or suspected breach of this Section 23.1.
(e) Breach of this Section 23.1 shall be deemed a material breach entitling the non-breaching party to terminate this Agreement immediately without liability.
23.2. Modern Slavery and Human Trafficking
(a) Each party shall comply with the Modern Slavery Act 2015 and shall not engage in, facilitate, or condone any form of slavery, servitude, forced or compulsory labour, or human trafficking ("Modern Slavery").
(b) Each party warrants that:
(i) It does not use and will not use forced labour, child labour, or trafficked labour in any part of its business or supply chain;
(ii) It has implemented and will maintain effective systems and controls to ensure Modern Slavery does not take place in its business or supply chains;
(iii) It will notify the other party immediately upon becoming aware of any actual or suspected Modern Slavery in its business or supply chain.
(c) The Venue shall, upon request, provide Atlas with such information and documentation as Atlas may reasonably require to satisfy itself of the Venue's compliance with this Section 23.2.
(d) Breach of this Section 23.2 shall be deemed a material breach entitling the non-breaching party to terminate this Agreement immediately without liability.
24. Non-Solicitation & Publicity Rights
24.1. Data Protection and Independent Customer Relationships
(a) During this Agreement and for 12 months after termination, the Venue shall not use automated scraping or bulk harvesting to obtain Atlas user data, nor use Atlas data, proprietary analytics or features to build or assist a competing discovery platform, directory or loyalty programme.
(b) This restriction does not prevent the Venue from serving or lawfully contacting its independent customers, including diners who discover it on Atlas and then contact it through its public phone number, website or direct booking provider. Those direct customer relationships remain the Venue's own. The Venue may use independently collected customer data through its own channels, with a lawful basis and any consent required by UK GDPR and PECR.
(c) Displaying and promoting the Venue's public contact details and direct booking links is permitted. There is no obligation to route those direct bookings through Atlas. This clause does not authorise extraction of private Atlas user information or override Section 9's data protection duties.
(d) Atlas may seek injunctive relief and any other remedies available by law for unlawful harvesting or competing-platform misuse.
24.2. Publicity Rights
(a) The Venue grants Atlas the right to reference the Venue by name, logo, and tier status as a listed partner in Atlas marketing materials, press releases, case studies, investor presentations, social media, and promotional content.
(b) The Venue may request in writing that Atlas remove a specific reference from a specific piece of marketing material. Atlas shall comply with such request within 14 business days, provided that this right does not extend to general partner listings, platform directories, or aggregated statistics.
(c) Atlas may use anonymised and aggregated Venue performance data (including but not limited to engagement metrics, check-in volumes, and review scores) in marketing, sales, and investor materials without the Venue's prior consent.
(d) This publicity right survives termination of this Agreement for a period of 6 months, after which Atlas shall remove specific named references to the Venue from active marketing materials upon written request.
25. Acceptable Use & Content Policy
25.1. General Content Standards
All content created, uploaded, published, minted, or distributed by the Venue through the Atlas platform, including but not limited to photographs, videos, text, NFTs, digital collectibles, AI-generated outputs, marketing materials, menus, and social media posts, must:
(a) Be lawful, accurate, and not misleading;
(b) Not infringe the intellectual property rights, trademarks, copyrights, or moral rights of any third party;
(c) Comply with the Advertising Standards Authority (ASA) CAP Code, UK advertising law, and all applicable regulations governing commercial communications;
(d) Not contain any material that could bring Atlas, its users, or the hospitality industry into disrepute.
25.2. Prohibited Content
The following content is strictly prohibited on the Atlas platform. The Venue must not create, upload, publish, mint as NFTs, or distribute:
(a) Sexual, sexually suggestive, or pornographic content of any kind;
(b) Content depicting, targeting, featuring, or designed to appeal to minors (persons under 18 years of age);
(c) Content advertising alcohol, gambling, tobacco, vaping, or any age-restricted products or services to minors;
(d) Violent, graphic, gratuitously offensive, or disturbing material;
(e) Hate speech, discrimination, or content inciting hatred or hostility based on protected characteristics as defined by the Equality Act 2010 (including but not limited to age, disability, gender reassignment, marriage/civil partnership, pregnancy/maternity, race, religion or belief, sex, and sexual orientation);
(f) Fraudulent, deceptive, or misleading claims about products, services, pricing, or offers;
(g) Content promoting, glorifying, or facilitating illegal substances, controlled drugs, or unlawful activities;
(h) Content that violates any person's privacy, data protection rights, or right to publicity;
(i) Terrorist content, content glorifying or inciting terrorism, or content produced by proscribed organisations;
(j) Content glorifying self-harm, suicide, or eating disorders;
(k) Content that constitutes harassment, bullying, stalking, or threats of violence;
(l) Spam, unsolicited commercial messages, or content designed to manipulate platform algorithms or metrics.
25.3. NFT & Digital Collectible Creation
(a) All NFTs, digital collectibles, loyalty stamps, venue badges, and blockchain-based assets minted via the Atlas platform ("Digital Assets") must comply with all content standards set out in this Section 25.
(b) NFT artwork, metadata, descriptions, and associated media must not contain sexual, violent, discriminatory, minor-targeting, or otherwise prohibited content.
(c) The Venue warrants that it holds all necessary rights, including intellectual property rights, model releases, photographer consents, and licensing rights, for any artwork, images, logos, or media used in Digital Assets.
(d) Digital Assets must not be marketed, promoted, or described as financial investments, securities, or instruments with expected financial returns. The Venue shall not make any representations regarding the future monetary value of Digital Assets.
(e) Atlas reserves the right, at its sole discretion, to:
(i) Refuse to mint or publish any Digital Asset that violates this policy;
(ii) Delist, hide, or remove any Digital Asset from the Atlas marketplace or platform;
(iii) Burn (permanently destroy) any Digital Asset that Atlas reasonably determines violates this Section 25 or applicable law.
(f) The Venue shall indemnify and hold harmless Atlas against all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with Digital Asset content created by or on behalf of the Venue.
25.4. Responsible Alcohol Marketing
(a) All alcohol-related content published through the Atlas platform must comply with:
(i) The Portman Group Code of Practice on the Naming, Packaging, and Promotion of Alcoholic Drinks;
(ii) The ASA/CAP Code rules on alcohol advertising;
(iii) All applicable UK legislation governing the advertising and promotion of alcoholic beverages.
(b) Alcohol-related content must not:
(i) Encourage excessive, irresponsible, or rapid consumption of alcohol;
(ii) Target or have particular appeal to persons under 18 years of age;
(iii) Associate the consumption of alcohol with social, sexual, physical, or sporting success;
(iv) Suggest that alcohol can enhance mental or physical capabilities;
(v) Feature or depict persons who are, or appear to be, under 25 years of age (unless clearly in a non-drinking context);
(vi) Link alcohol consumption with driving or the operation of machinery.
(c) All alcohol-related content must include appropriate age-gating, age-restriction notices, or "Drink Responsibly" messaging where required by law or industry codes.
25.5. AI-Generated Content Guardrails
(a) AI tools provided by the Atlas platform (including but not limited to Trinity AI, review response generators, marketing copy generators, and image generation tools) must not be used to generate content that would be prohibited under Section 25.2.
(b) The Venue remains solely responsible for reviewing, editing, and approving all AI-generated outputs before publication. AI-generated content is provided on an "as-is" basis, and the Venue accepts full liability for any AI output it chooses to publish.
(c) Atlas may implement automated content moderation filters, safety classifiers, or content review systems. Any deliberate attempt to circumvent, bypass, or manipulate these safeguards shall constitute a material breach of this Agreement.
(d) The Venue shall not use AI tools to generate content that impersonates real individuals, creates deepfakes, or produces synthetic media intended to deceive.
25.6. Enforcement & Sanctions
(a) Atlas may, at its sole discretion and without prior notice, remove, suspend, restrict, or hide any content that it reasonably believes violates this Section 25 or any applicable law.
(b) The following graduated enforcement framework applies:
(i) First offence: Written warning, content removal, and mandatory acknowledgement of this policy;
(ii) Second offence: Temporary suspension of content creation, NFT minting, and marketing features for a period of 7 to 30 days, at Atlas's discretion;
(iii) Third or serious offence: Immediate termination of this Agreement under Section 12.2, without refund and without liability to Atlas.
(c) Notwithstanding the above, Atlas may proceed directly to termination for any single violation that Atlas reasonably considers to be serious, including but not limited to: content involving minors, content promoting terrorism, content constituting a criminal offence, or content that poses a genuine risk of harm to any person.
(d) Atlas may report illegal content to the relevant law enforcement authorities, regulatory bodies, or the Internet Watch Foundation (IWF) without prior notice to the Venue.
(e) The Venue acknowledges that Atlas's exercise of its rights under this Section 25.6 shall not give rise to any claim for compensation, damages, or loss of revenue.
25.7. User-Generated Content Curation
(a) Where the Venue reposts, features, curates, or promotes user-generated content ("UGC") on its venue profile, in NFTs, or in marketing materials, the Venue is responsible for ensuring such content complies with this Section 25 before featuring it.
(b) The Venue shall implement reasonable review processes for UGC and shall promptly remove any UGC that is brought to its attention as violating this policy.
(c) Atlas shall not be liable for UGC that the Venue chooses to feature, and the Venue shall indemnify Atlas against any claims arising from the Venue's use of UGC.
26. Electronic Signature & Method of Authentication
26.1. Acceptance by Electronic Signature
The Venue acknowledges and agrees that ticking the acceptance checkboxes and typing its full legal name into the signature field on the Atlas platform constitutes an "electronic signature" for the purposes of section 7 of the Electronic Communications Act 2000 and is intended by the Venue to authenticate this Agreement and to be legally binding on the Venue to the same extent as a handwritten signature on a paper document.
26.2. Intention to Authenticate
By submitting the typed signature, the Venue confirms that:
(a) it intends the typed name, together with the ticked acceptance and ownership confirmation checkboxes, to operate as its signature;
(b) it intends to authenticate the canonical text of this Agreement as displayed on screen at the time of acceptance; and
(c) it has the authority to bind the business named in the signature block to this Agreement.
26.3. Evidential Record
The Venue acknowledges that, at the moment of acceptance, Atlas will record and immutably store: the typed full legal name, the date and time of acceptance (UTC), the IP address and user-agent of the signing device, the agreement version, and a SHA-256 cryptographic hash of the exact agreement text presented. These records, together with the counter-signed PDF issued by Atlas Group Technologies Ltd, shall be admissible as evidence of execution of this Agreement in any court or tribunal in England and Wales.
26.4. Counterpart and Electronic Delivery
This Agreement may be executed and delivered electronically. The counter-signed PDF emailed to the Venue and to Atlas constitutes a single, fully executed instrument. The Venue waives any objection to the validity, enforceability, or admissibility of this Agreement on the sole ground that it was signed and delivered by electronic means.
27. Atlas-Pays Cardano Minting & Fair Use
27.1. For Silver, Gold and Platinum tiers, Atlas funds the on-chain transaction fees ("Gas") and native-asset policy infrastructure required to mint NFTs, digital collectibles, milestone rewards, loyalty stamps and venue badges issued through the Atlas platform ("Atlas-Pays"). The Venue is not required to hold , run a wallet or fund Cardano transactions in order to issue Digital Assets through the platform.
27.2. Bronze venues are not eligible for Atlas-Pays. Mint attempts by a Bronze venue will be refused with a tier-locked response and an upgrade prompt; no Digital Asset will be created and no charge will be incurred by either party.
27.3. Subject to clause 27.4, there is no monthly or annual cap on the number of NFTs an eligible Venue may mint under Atlas-Pays.
27.4. Fair-Use Rate Limits. To protect platform integrity and prevent abuse of the shared minting infrastructure:
(a) A soft limit of 200 mints per Venue per rolling hour applies across all eligible tiers. Mints requested above this rate may be queued, deferred to the next hourly anchor batch, or refused with a "rate_limited" response;
(b) Atlas operates automated high-volume monitoring; sustained volumes that materially deviate from a Venue's historical baseline will generate an internal alert and may, at Atlas's discretion, lead to temporary throttling pending a brief integrity review with the Venue;
(c) Atlas may, acting reasonably and in good faith, suspend Atlas-Pays minting for any Venue that uses the facility to mint content that violates Section 25 (Acceptable Use & Content Policy) or that, in Atlas's reasonable opinion, is being used to evade fees, launder value, distribute spam, or circumvent platform controls.
27.5. . Anchor-worthy events (including but not limited to ticket sales manifests, loyalty milestone mints, and audit-relevant venue actions) are committed to Cardano mainnet via a single hourly transaction under metadata label 1904, using a Merkle root to cryptographically commit to all events in the batch. Individual events therefore obtain on-chain provability without each requiring a separate transaction. The Venue acknowledges that anchor cadence is hourly and that anchor confirmation is subject to Cardano network conditions; Atlas does not warrant block confirmation times.
27.6. Title & Ownership. Digital Assets minted under Atlas-Pays are issued under an Atlas-controlled Cardano policy on behalf of the Venue. The economic and brand association of each Digital Asset is with the Venue (asset names and metadata identify the Venue) and the recipient diner holds the Digital Asset in their own wallet. Atlas's role is limited to operating the minting infrastructure and paying Gas; Atlas does not claim beneficial ownership of the underlying creative content.
27.7. No Investment Representation. The Venue must not market, describe or imply that Atlas-Pays Digital Assets are financial instruments, securities, investments or that they will appreciate in value (see clause 25.3(d)).
27.8. Discontinuation. Atlas may, on 60 days' written notice, alter or discontinue the Atlas-Pays subsidy (for example, by introducing per-mint charges or revised fair-use thresholds). Any such change will not affect Digital Assets already minted.
28. Atlas-Wide Gift Vouchers
28.1. Gift vouchers issued through the Atlas platform ("Atlas Vouchers") are Atlas-wide instruments. They are purchased by diners (or gifted to them) and can be redeemed at any participating Atlas venue. Atlas Vouchers are NOT venue-scoped, are not issued by the Venue, and the Venue may not, through the Atlas platform, create or sell vouchers that are restricted to its own premises.
28.2. The Venue's role in respect of Atlas Vouchers is limited to acceptance and redemption at the till against eligible food and drink, in accordance with the published voucher terms.
28.3. Settlement. Where a diner redeems an Atlas Voucher at the Venue, the redeemed value is recorded against the Venue's Atlas account and is reconciled to the Venue in accordance with the prevailing voucher schedule published in the Venue dashboard. Atlas may set off voucher redemption liabilities against any sums otherwise owed by the Venue to Atlas.
28.4. The Venue shall not:
(a) Refuse to honour a validly presented Atlas Voucher within its published terms;
(b) Charge any surcharge, processing fee or minimum spend in connection with a voucher redemption that is not also applied to equivalent cash or card transactions;
(c) Provide change in cash for unspent voucher balance unless required by law;
(d) Attempt to use the Atlas platform to issue venue-only or single-site vouchers (any such record is automatically constrained by a platform-side rule and will be rejected).
28.5. The Venue may continue to operate its own independently-issued physical or third-party gift cards entirely outside the Atlas platform; such instruments are not governed by this Section 28.
31. Trinity AI: Use of Venue Content & Voice Surfacing
31.1. Licence Grant for AI Ingestion. The Venue grants Atlas a worldwide, royalty-free, non-exclusive licence to ingest, index, embed, and reproduce Venue Content (including profile copy, menu items, hours, public phone, public social links, banner and gallery images, dietary tags, FAQs and event listings) into the Trinity AI knowledge base (including but not limited to the `trinity_knowledge_articles` retrieval store, embeddings, and voice-response surfaces) for the purpose of answering diner queries about the Venue across text and voice interfaces.
31.2. Private-Field Exclusion. Atlas shall not expose, through Trinity or any other diner-facing surface, fields designated as private in the Venue dashboard, including but not limited to: private contact phone numbers, owner email addresses, financial data, supplier prices, internal notes, compliance documents, guest CRM notes, voice-auth credentials and Trinity admin session content. The Venue's "public phone" field is, by definition, public.
31.3. No Invention. Atlas's Trinity systems are instructed not to invent venue facts. Where Trinity surfaces information about the Venue, it does so on the basis of (a) Venue-supplied content, (b) public-domain enrichment (e.g. Google Places, weather), or (c) diner-supplied content (e.g. reviews). The Venue remains the source of truth for its own data and is responsible for keeping the dashboard current.
31.4. Synthetic Voice. Diner-facing Trinity voice responses are generated using third-party AI voice synthesis (ElevenLabs). The voice persona is Atlas's, not the Venue's, and does not imply employment, agency, or endorsement by the Venue.
31.5. Termination. On termination of this Agreement, Atlas will, within 30 days, remove Venue Content from Trinity retrieval surfaces, subject to retention for legitimate audit, legal, or anchor-evidence purposes under Section 9 (Data Protection).
34. AI-Generated Content & Publishing Responsibility
34.1. Scope. Atlas provides AI-assisted content tools, including but not limited to: Milestone NFT Studio (image generation), AI review-response drafts, AI-suggested menu descriptions, weather-triggered campaign drafts, AI-suggested allergen tags, AI-curated social ideas, and Trinity AI text/voice drafts.
34.2. Publisher of Record. Where the Venue elects to publish AI-generated output (whether to its profile, an outbound email, a push notification, a social channel, an NFT, or any other diner-facing surface), the Venue is the publisher of record. The Venue must review, edit, and approve AI-generated content before publication.
34.3. Atlas Disclaimer. Atlas provides AI outputs "as is" and disclaims, to the maximum extent permitted by law, any warranty as to accuracy, fitness for purpose, originality, freedom from infringement, or compliance with advertising standards. Atlas is not liable for loss arising from a Venue's decision to publish AI-generated content.
34.4. Prohibited Use of AI Tools. The Venue shall not use Atlas AI tools to generate (a) content impersonating real individuals without consent, (b) content infringing third-party IP, (c) content that breaches the Advertising Standards Authority's CAP Code (including misleading claims about provenance, health, or price), (d) content that misrepresents the Venue's allergen handling (see clause 6.1 and Section 34.5), or (e) content prohibited by Section 25 (Acceptable Use & Content Policy).
34.5. AI Allergen Tags: Reinforcement. Without limiting clause 6.1, AI-suggested allergen tags are advisory only and never override the Venue's primary statutory duty under the Food Information Regulations 2014 and Natasha's Law to declare allergens accurately. The Venue must independently verify every AI-suggested allergen tag before confirming it in the dashboard.
34.6. Independent Technology Provider. Nothing in this Agreement creates a partnership, joint venture, agency, franchise or employment relationship between Atlas and the Venue. Trinity and automated communication tools are software operating on venue-configured settings, profile information and inventory rules, not an authorised booking agent, dining broker or fiduciary for the Venue. Contracts for the Venue's food, drink, tables and event admission remain between the Venue and guest. Atlas retains its own contractual duties and responsibilities under applicable law; Section 10.3 applies.
35. Living Atlas Check-In Pins & Diner-Originated Content
35.1. Diner Check-Ins. The Atlas platform permits authenticated diners to record a check-in at the Venue (via QR scan, bill scan or geolocation) and, where the diner consents, to display a pin on the Venue's profile and on the diner's personal Living Atlas passport.
35.2. Venue Acknowledgement. The Venue acknowledges that lawful diner check-ins are a core feature of the Atlas platform and consents to such check-ins being recorded against its profile. The Venue shall not require diners to refrain from checking in, nor disable check-in capture, as a condition of service.
35.3. Removal Right. Notwithstanding clause 35.2, the Venue may request removal of an individual check-in or pin where it has a legitimate basis (e.g. fraudulent check-in, safeguarding concern, factual error). Atlas will action verified removal requests within 7 days.
35.4. Diner-Originated Reviews & Pins. Reviews, photographs, dish notes and pins created by diners are the IP of the diner and are licensed to Atlas under the Atlas user terms. The Venue's rights in respect of such content are limited to (a) the right of reply under Section 8.6, and (b) the right to flag for moderation under Section 25.
37. AXP Closed-Loop Integrity
37.1. Without limiting Section 30, the Venue shall not, directly or via a third party: (a) market, advertise or describe AXP as a currency, security, financial instrument, or investment; (b) list AXP on any exchange, marketplace or peer-to-peer trading venue; (c) facilitate the resale of AXP for fiat, cryptocurrency or any other consideration outside the Atlas-published redemption mechanism; (d) issue receipts denominating AXP as legal tender; or (e) accept AXP from a diner outside the in-platform redemption flow.
37.2. The Venue acknowledges that the conduct prohibited in clause 37.1 may cause AXP to be treated as electronic money under the Electronic Money Regulations 2011, as a security under the Financial Services and Markets Act 2000, or as a regulated cryptoasset under the Financial Promotion Order 2005 (as amended), in each case to the material detriment of Atlas. Breach of clause 37.1 is a material breach of this Agreement for the purposes of Section 12.
37.3. Atlas reserves the right to invalidate AXP balances or voucher redemptions obtained or circulated in breach of clause 37.1, without compensation to the Venue or the diner.
42. Data Portability, Export & Exit
42.1. No Lock-In. The Venue may export its own venue data, including bookings, guest book and Guest CRM Data, menus, events, ticket sales records, reviews received, and payout records, at any time from the dashboard, in machine-readable format, at no charge. Atlas charges no exit fee, no data-release fee and no migration fee.
42.2. Migration In. Atlas will, on reasonable request and at no charge, assist the Venue in importing existing reservation, guest and menu data from a previous provider, subject to the Venue warranting that it has the lawful basis and consents required to transfer that data to Atlas.
42.3. On Termination. On termination or expiry, the Venue may export its data for 30 days from the effective date of termination. Thereafter Atlas will delete or anonymise Venue and guest data in accordance with Section 9 and the retention periods stated in this Agreement, save for (a) records retained for legal, tax or accounting obligations, (b) Compliance Documents retained under clause 36.5, (c) team and PII access logs retained under clause 40.4, and (d) Merkle- evidence records under clause 32.6, which are cryptographic commitments and cannot be deleted from a public blockchain: the underlying personal data is held off-chain and is deleted, rendering the on-chain commitment non-identifying.
42.4. No Deliberate Degradation. Atlas will not withhold, throttle or degrade export functionality in order to discourage a Venue from leaving, and will not require the Venue to speak to a retention agent before exporting.
44. Punch Cards & Stamp Ledger
44.1. Nature of the Programme. Punch cards are a "buy X, get one free" loyalty mechanic operated by the Venue on Atlas. The reward is a free or discounted item supplied by the Venue at its own cost. Atlas provides the ledger, the anti-fraud controls and the guest interface; it does not fund, guarantee or underwrite the reward.
44.2. Server-Issued Stamps Only. Stamps are issued exclusively by Atlas platform functions in response to a verified event (a staff-authorised award, a check-in, or a scanned bill). The Venue and its staff cannot, and must not attempt to, write, edit, backdate or delete stamp records directly, and must not use scripts, automation or credential sharing to add stamps outside the platform's own flows. Any stamp record created otherwise is void.
44.3. Allowance and Idempotency. A per-visit stamp allowance applies (currently 5, 10 or 15 stamps per qualifying visit depending on the campaign configuration). Stamps awarded against a bill are keyed to that bill reference so that a repeated scan or a duplicated request does not award twice. The Venue accepts the platform's record of stamps as definitive in any dispute with a guest, subject to clause 44.6.
44.4. Completion, Redemption and Recycling. When a card reaches its configured target, the guest becomes entitled to the stated reward. On redemption the card is automatically recycled to a fresh card at the same terms unless the Venue has ended the campaign. Redemption is recorded server-side at the point of staff confirmation.
44.5. Venue Liability for Earned Stamps. The Venue shall honour every reward validly earned under the terms published at the time the stamps were collected, including where the Venue subsequently changes or ends the campaign, changes menu prices, or is sold or transferred. Stamps already collected are not cancelled by a change of terms. If the Venue leaves Atlas, it shall honour outstanding earned rewards for 90 days from the effective date of termination or, if shorter, until the published expiry of the relevant card.
44.6. Fraud and Adjustment. Where Atlas or the Venue identifies stamps obtained by fraud, error or system fault, Atlas may void the affected stamps and will record the reason in the audit trail. The Venue may request an adjustment through support; it may not adjust the ledger itself.
44.7. Fair Presentation. Punch card terms (qualifying spend, excluded items, expiry, single-use conditions) must be stated accurately and legibly at the point the guest opts in. Terms that are misleading, or that make the reward practically unattainable, breach Section 25 and may be suspended by Atlas.
45. Offers, Deals & Claim Codes
45.1. Scope. This Section applies to offers the Venue publishes through Atlas, including flash deals, student offers, first-visit incentives, boosted listings and any offer surfaced in the Atlas deals marketplace or by Trinity.
45.2. Claim Codes. Where a guest claims an offer in the app, Atlas issues a short claim code recorded against that guest, that offer and (where applicable) that visit. The Venue shall honour any claim code presented in a valid, unexpired, unredeemed state on the terms published at the time of the claim. A claim code is single-use: once staff mark it redeemed, it cannot be redeemed again, and the platform record of redemption is definitive.
45.3. Expiry and Availability. The Venue sets the offer window, any redemption limit, and any per-guest limit. Claims automatically expire at the end of the window or when a stated allocation is exhausted. The Venue may withdraw an offer prospectively at any time; withdrawal does not invalidate codes already claimed and still within their validity period.
45.4. No Surcharge or Downgrade. The Venue shall not (a) impose a fee, minimum spend or condition on redemption that was not published at the time of the claim; (b) substitute an item of materially lower value; or (c) treat a claiming guest less favourably than a walk-in guest, including in seating, service or gratuity expectations.
45.5. AXP-Funded Offers. Where an offer awards AXP or is applied automatically at check-in, the AXP is drawn from the Venue's own AXP Wallet under Section 30 and is subject to available balance. If the balance is insufficient, the AXP component is not awarded and Atlas will notify the Venue; the Venue remains responsible for honouring any non-AXP element of the offer already claimed.
45.6. Accuracy and Suspension. Offer copy must be accurate, must not overstate a discount against a price the Venue has not genuinely charged, and must comply with the CAP Code and the Digital Markets, Competition and Consumers Act 2024. Atlas may suspend or remove an offer that it reasonably considers misleading, unlawful, or materially mispriced, and will tell the Venue why.
45.7. Anchoring. Offer claims and redemptions may be included in the under clause 27.5 so that both parties have tamper-evident proof of what was claimed and redeemed. Clause 32.6 applies to those records.
49. Arrival Confirmation, Turn-Taking Records & No-Shows
49.1. Arrival Is the Trigger. Confirming a guest's arrival in the dashboard (or a valid QR check-in) is the event that releases the card guarantee, records the visit, credits guest AXP where eligible, unlocks a verified review, and settles any group turn-taking record. The Venue shall confirm arrivals promptly and accurately during service.
49.2. No False Records. The Venue shall not mark a booking arrived or seated that did not arrive, nor withhold confirmation from a guest who did arrive in order to preserve a guarantee, suppress a review, or deny AXP. Doing so is a breach of clause 37 (AXP Closed-Loop Integrity) and may be treated as a material breach.
49.3. Group Turn-Taking. Where guests use squad booking features, the platform records whose choice a booking was. That record settles only on arrival and is cancelled if the booking is cancelled, released or marked no-show. These records are social features between guests; they create no obligation on the Venue beyond honouring the booking itself.
49.4. No-Show Handling. A no-show may be recorded only after the grace period published to the guest has elapsed. Capture of any no-show or late-cancellation fee is governed by Section 29 and the Refund & Cancellation Policy; the Venue shall not capture a fee where it failed to hold the table, was closed, or turned the party away.
49.5. Evidence. Arrival confirmations, no-show markings and turn settlements are logged and may be included in the under clause 27.5, giving both parties tamper-evident proof of what happened. Clause 32.6 applies. In a dispute between the parties, the platform record of arrival is presumed correct unless the Venue produces contemporaneous evidence to the contrary.
